Abstract

In a digital age where data functions as a pivotal economic asset, cross-border mergers and acquisitions (M&As) are increasingly governed by the intricate matrix of data protection and privacy laws. This study offers a critical legal appraisal of the implications arising from disparate data governance regimes in international M&A transactions. Emphasizing the friction between stringent regulatory frameworks and comparatively lenient jurisdictions, it investigates the ways in which such legal asymmetries affect due diligence procedures, asset valuation, deal structuring, and post-merger data integration.


The research further examines the growing prominence of data-related liabilities, the intensification of regulatory scrutiny as a determinant of transactional viability, and the expanding purview of legal due diligence in this context. It analyses the extraterritorial scope of data protection statutes and the enforcement mechanisms employed by supervisory authorities across borders. By engaging doctrinal analysis and illustrative case studies, the paper highlights the urgent need for cohesive legal harmonization, strengthened transnational regulatory collaboration, and anticipatory legal risk management.


In conclusion, this inquiry affirms that data protection has transcended its former status as a peripheral compliance issue to become a central legal challenge in cross-border M&As one that necessitates refined legal insight and jurisdiction-sensitive adaptability.
